Spin-off universitario e scelta del socio privato

Abstract [It]: Il lavoro affronta il problema della scelta del socio privato negli spin off universitari. Un problema oggetto di un parere reso dall’ANAC al C.N.R., che chiede se, ai fini della costituzione delle società spin off, trovi applicazione l’art. 7, comma 5, del d.lgs. n. 175 del 2016. La norma impone alle amministrazioni pubbliche di scegliere i soci privati con procedura ad evidenza pubblica, e l’ANAC la ritiene applicabile tutte le volte in cui l’amministrazione pubblica costituisca, unitamente a soggetti privati, una società per le finalità di cui all’art. 4 del d.lgs. n. 175 del 2016. La decisione dell’ANAC suscita perplessità, anche alla luce della richiesta di parere con la quale il C.N.R. dubita che gli spin off universitari rientrino nell’ambito applicativo dell’art. 7, comma 5, del d.lgs. n. 175 del 2016, in quanto  l’art. 4, dopo aver previsto i limiti entro i quali le amministrazioni pubbliche possono costituire società aventi per oggetto attività di beni e servizi, al comma 8 che fa «salva la possibilità di costituire, ai sensi dell’art. 2 e 3 del decreto legislativo 27 luglio 1999, n. 297, le società con caratteristiche di spin-off o start-up universitari previste dall’art. 6, comma 9, della legge 30 dicembre 2010, n. 240, nonché quelle con caratteristiche analoghe degli enti di ricerca». Dopo avere analizzato la particolarità del fenomeno degli spin off universitario, il lavoro giunge alla conclusione che la procedura di scelta del contraente negli spin off universitari vada impostata in termini diversi rispetto a quanto previsto dall’art. 7, comma, 5 del d.lgs. 175 del 2011.

Abstract [En]: The work addresses the problem of choosing a private partner in university spin-offs. A problem subject to an opinion made by ANAC to the C.N.R., which asks if, for the purposes of setting up spin-off companies, art. 7, paragraph 5, of Legislative Decree no. 175 of 2016. The law requires public administrations to choose private shareholders with public procedure, and ANAC considers it applicable whenever the public administration constitutes, together with private subjects, a company for the purposes of referred to in art. 4 of Legislative Decree no. 175 of 2016. The ANAC decision raises doubts, also in light of the request for an opinion with which the C.N.R. doubts that university spin-offs fall within the scope of art. 7, paragraph 5, of Legislative Decree no. 175 of 2016, since art. 4, after having foreseen the limits within which public administrations can set up companies having as their object the activity of goods and services, in paragraph 8 which does "without prejudice to the possibility of establishing, pursuant to art. 2 and 3 of Legislative Decree 27 July 1999, n. 297, companies with spin-off characteristics or university start-ups envisaged by art. 6, paragraph 9, of the law 30 December 2010, n. 240, as well as those with similar characteristics of the research institutes ». After analyzing the particularity of the phenomenon of university spin-offs, the work comes to the conclusion that the procedure for choosing the contractor in the university spin-offs should be set in different terms with respect to the provisions of art. 7, paragraph, 5 of Legislative Decree 175 of 2011.
